A securities class action lawsuit has been filed in the USDC, DE on behalf of purchasers of VBit Technologies Corp., VBit Mining LLC (Collectively, “VBit”) securities, which were unregistered in the form of investment contracts between January 1, 2019 and February 13, 2023, inclusive (the “Class Period”). 

The Complaint alleges the following:

  • Defendants made false and misleading statements omitting material information concerning VBit’s mining operations;
  • The Defendants, and each of them, made use of means or instruments of transportation or communication in interstate commerce or of the mails, to offer to sell or to sell securities, or to carry or cause such securities to be carried through the mails or in interstate commerce for the purpose of sale or for delivery after sale; and
  • deceive the investing public, including Plaintiff and other Class members, as alleged herein; artificially inflate and maintain the market price of VBit Mining Contract securities; and cause Plaintiff and other members of the Class to purchase or otherwise acquire VBit Mining Contract securities at artificially inflated prices.
